By sending us such submissions, you agree that such submissions shall be owned by Excel Accountant and, unless otherwise explicitly agreed in writing, Excel Accountant shall have no obligation to compensate you for the submissions and may use the submissions for its own use in its sole discretion.

All intellectual property found on the Site, including, without limitation, trademarks, service marks, logos, written content, videos, webinars, presentations, and copyrighted material are the property of Excel Accountant or it licensors or other partners or third parties. Except as explicitly stated herein, you are not granted any license or other right to use such intellectual property without the prior written consent of Excel Accountant or the applicable third party owner.

Fees and Services

We charge subscription fees every year for our services and those fees may change from time to time. Subscription shall be renewed automatically unless cancelled and payment shall be collected automatically from credit card available on file. Changes to fees are effective post the changes on www.excelaccountant.com. All fees are quoted in U.S. Dollars. You are responsible for paying all fees and applicable taxes associated with the Sites in a timely manner with a valid payment method. If your payment method fails or your account is past due, we may collect fees owed using other collection mechanisms or we may cancel your subscriptions. (This includes charging other payment methods on file with us, retaining collection agencies and legal counsel.)

By accessing the Site www.excelaccountant.com owned and managed by my-cpe llc, you agree to the following Terms & Conditions (the "Terms & Conditions") and to our Privacy Policy. Excel Accountant is a part of MY-CPE LLC. MY-CPE LLC is registered with NASBA for multiple delievery methods with sponsor ID (143597). If a dispute arises between you and us our goal is to provide you with a neutral and cost effective means of resolving the dispute quickly. Accordingly, you and us agree that we will resolve any claim or controversy at law or equity that arises out of this Agreement or our services (a "Claim") in accordance with one of the subsections below or as we and you otherwise agree in writing. Before resorting to these alternatives, we strongly encourage you to first contact us directly to seek a resolution. We will consider reasonable requests to resolve the dispute through alternative dispute resolution procedures, such as mediation or arbitration, as alternatives to litigation.

Law and Forum for Disputes - This Agreement shall be governed in all respects by the laws of the State of Wyoming as they apply to agreements entered into and to be performed entirely within Wyoming between Wyoming residents, without regard to conflict of law provisions. You agree that any claim or dispute you may have against Excel Accountant must be resolved by a court located in Wyoming, except as otherwise agreed by the parties or as described in the Arbitration Option paragraph below. You agree to submit to the personal jurisdiction of the courts located within Wyoming for the purpose of litigating all such claims or disputes.

Arbitration Option - For any claim (excluding claims for injunctive or other equitable relief) where the total amount of the award sought is less than $10,000, the party requesting relief may elect to resolve the dispute in a cost effective manner through binding non-appearance-based arbitration. In the event a party elects arbitration, they shall initiate such arbitration through an established alternative dispute resolution ("ADR") provider mutually agreed upon by the parties. The ADR provider and the parties must comply with the following rules: a) the arbitration shall be conducted by telephone, online and/or be solely based on written submissions, the specific manner shall be chosen by the party initiating the arbitration; b) the arbitration shall not involve any personal appearance by the parties or witnesses unless otherwise mutually agreed by the parties; and c) any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

Resolution Of Disputes

Improperly Filed Claims - All claims you bring against excel accountant must be resolved in accordance with this Resolution of Disputes Section. All claims filed or brought contrary to the Resolution of Disputes Section shall be considered improperly filed. Should you file a claim contrary to the Resolution of Disputes Section, Excel Accountant may recover attorneys' fees and costs up to $1000, provided that Excel Accountant has notified you in writing of the improperly filed claim, and you have failed to promptly withdraw the claim.

User Information and Content policy:

You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages or other materials ("Content"), is collected from the users, presenters, companies, speaker or other associated parties whether publicly posted or privately transmitted, are the sole responsibility of the person or entity from which this Content originated, Excel Accountant by no means independently verifies the information nor is responsible to do so. This means respective parties (user, presenter, speaker, etc.) and not Excel Accountant are entirely responsible for all Content uploaded, posted, emailed, shared or otherwise transmitted via the Service. Excel Accountant does not control the Content posted via the site and, as such, does not guarantee the accuracy, integrity or quality of this Content. You understand that by using the Service, you may be exposed to Content that is offensive, indecent or objectionable. Under no circumstances, will Excel Accountant be liable in any way for any Content, including, but not limited to, for any errors or omissions in any Content, or for any loss or damage of any kind incurred as a result of the use of any Content posted, emailed or otherwise transmitted via the Service.

You acknowledge that Excel Accountant does review webinar's content as per the requirement of NASBA but doesn't pre-screen any other content like user information, testimonial etc, but that Excel Accountant and its designees shall have the right (but not the obligation) in their sole discretion to refuse or move any Content that is available on the website. Without limiting the foregoing, Excel Accountant and its designees shall have the right to remove any Content that violates these Terms & Conditions or is otherwise objectionable. You agree that you must evaluate, and bear all risks associated with the use of any content, including any reliance on the accuracy, completeness, or usefulness of the Content.

You understand that the technical processing and transmission of the information, including your Content, may involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.

Termination of Access:

You agree that Excel Accountant in its sole discretion, may terminate your password, account (or any part thereof) or use of the Service, and remove and discard any content within the Service, for any reason, including, without limitation, for lack of use or if Excel Accountant believes that you have violated or acted inconsistently with the letter or spirit of these Terms & Conditions or against the interest of public or Excel Accountant. Excel Accountant may also in its sole discretion and at any time discontinue providing the service, or any part thereof, with or without notice. You agree that any termination of your access to the service under any provision of these Terms & Conditions may be effected without prior notice, and acknowledge and agree that Excel Accountant may immediately deactivate or delete your account and all related information and files in your account and bar any further access to such files or the Service. Further, you agree that Excel Accountant shall not be liable to you or any third-party for any termination of your access to the Service.

llegal Activities:

The use of Excel Accountant service for any illegal activities is prohibited. Illegal activities include, but are not limited to, tampering with information databases and software, unauthorized entry to other networks or computers, trafficking in illegal products or substances, disobeying trade restrictions, violating civil rights laws or knowledgeable vandalism or destruction of online files. You shall comply with all applicable laws, statutes, ordinances and regulations regarding your use of our Service.

Indemnification:

You agree to defend, indemnify and hold us and our affiliates, directors, officers, members, managers, agents, consultants and employees harmless from and against any and all claims, losses, liabilities, costs and expenses (including, without limitation, attorneys' fees) arising from your violation of any of these Terms & Conditions or any third party rights, including, without limitation, infringement of any copyright, violation of any proprietary right and invasion of any privacy rights.

Cancellation:

No refunds will be provided to registered course participants, if the course catalog has been purchased. Course catalog has the validity of 1 year from the date of purchase.

You hereby acknowledge that you have read this Agreement, understand it and agree to be bound by its Terms & Conditions. You further agree that this is the complete and exclusive agreement between us, and this Agreement supercedes any proposal or prior agreement whether oral or written, and any other communication between us relating to the subject matter of this Agreement.
